1. Acceptance of Terms

By accessing or using privatereserves.shop (the “Site”) or placing an order through our store, you agree to be bound by these Terms & Conditions (“Terms”). Please read them carefully before using the Site or making a purchase.

If you do not agree to these Terms, you may not use this Site or place an order. Your continued use of the Site following any updates to these Terms constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

3. Eligibility

By using this Site and placing an order, you represent and warrant that:

  • You are at least 13 years of age
  • You are a resident of the United States
  • You are legally capable of entering into a binding contract
  • You will use this Site only for lawful purposes and in accordance with these Terms

Orders placed by individuals under the age of 13 are not permitted. If we become aware that a purchase was made by someone under 13, we reserve the right to cancel the order and issue a full refund.

4. Products & Availability

Private Reserves sells hand-curated home goods across four categories: Kitchen, Home Decor, Pets, and Tech & Gadgets. All products are sold subject to availability. We reserve the right to limit quantities, discontinue products, or modify product offerings at any time without notice.

We make every effort to display product descriptions, images, and specifications as accurately as possible. However, we do not warrant that product descriptions or other content on the Site is complete, accurate, or error-free. If a product you receive is materially different from its description, please refer to our Shipping & Returns Policy.

Colors may vary slightly from what is displayed on your screen due to differences in monitor calibration and display settings. Minor visual variations of this nature do not constitute a product defect.

5. Pricing & Payment

All prices displayed on the Site are in US dollars (USD) and are subject to change without notice. The price charged for your order will be the price displayed at the time you complete checkout. We reserve the right to correct pricing errors at any time, including after an order has been placed.

Payment is processed securely through Stripe, a PCI-DSS Level 1 compliant third-party payment processor. By placing an order, you authorize us to charge the payment method you provide for the full order amount. We do not collect, store, or have access to your full payment card details. All payment data is handled directly by Stripe in accordance with their privacy policy.

We currently accept all major credit and debit cards supported by Stripe. Applicable sales tax, if any, will be calculated and displayed at checkout based on your shipping address.

6. Order Placement & Confirmation

Placing an order on privatereserves.shop constitutes an offer to purchase the selected product(s) subject to these Terms. We reserve the right to accept or decline any order at our sole discretion. A contract between you and Axiopistis Holdings LC is formed only upon our confirmation of your order and initiation of fulfillment.

You will receive an order confirmation email at the address provided during checkout. It is your responsibility to provide a valid, accurate email address. If you do not receive a confirmation email within 24 hours of placing your order, please check your spam folder and contact us at hello@privatereserves.shop.

We reserve the right to cancel orders in the following circumstances:

  • The product is no longer available or is out of stock
  • A pricing or product description error has been identified
  • Payment authorization fails or is declined
  • The order appears to be fraudulent or in violation of these Terms
  • The shipping address is undeliverable or outside our shipping area

If we cancel your order, you will be notified by email and any payment collected will be fully refunded.

7. Shipping & Delivery

Private Reserves ships exclusively within the United States. All orders include free shipping with no minimum purchase required. Orders are fulfilled through a trusted third-party fulfillment partner operating from US-based warehouses.

Estimated delivery, processing timelines, tracking details, and all other shipping information are governed by our Shipping & Returns Policy, which is incorporated into these Terms by reference and available at privatereserves.shop/shipping-returns.

Title and risk of loss for products pass to you upon delivery to the carrier. We are not responsible for delays, losses, or damages caused by the carrier once the order has been handed off for shipment.

8. Returns & Refunds

All return and refund requests are governed by our Shipping & Returns Policy, available at privatereserves.shop/shipping-returns, which is incorporated into these Terms by reference.

By placing an order, you acknowledge and agree to the terms of that policy, including the 30-day claim window, the evidence requirements for claims, and the conditions under which refunds or replacements will or will not be issued.

9. Intellectual Property

All content on privatereserves.shop — including but not limited to text, product descriptions, logos, images, graphics, brand names, and the overall design and layout of the Site — is the property of Axiopistis Holdings LC or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, transmit, display, publish, sell, license, or create derivative works from any content on this Site without our express prior written consent. Unauthorized use of any content on this Site may violate copyright, trademark, and other applicable laws and could result in legal liability.

The Private Reserves name, logo, and all associated brand elements are proprietary to Axiopistis Holdings LC. Nothing in these Terms grants you any right or license to use our brand assets.

10. Acceptable Use

By using this Site, you agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to any portion of the Site, its systems, or networks
  • Introduce any viruses, malware, or other harmful code to the Site
  • Scrape, crawl, or systematically extract data from the Site without our written permission
  • Use the Site to transmit unsolicited commercial communications or spam
  • Impersonate Axiopistis Holdings LC, Private Reserves, or any other person or entity
  • Engage in any conduct that restricts or inhibits any other user’s use or enjoyment of the Site
  • Attempt to reverse engineer, decompile, or disassemble any part of the Site

We reserve the right to terminate or restrict access to the Site for any user who violates these acceptable use provisions.

The Site integrates with third-party services to operate, including Stripe for payment processing and a third-party fulfillment partner for order stocking, packing, and shipping. These third parties operate independently and are governed by their own terms of service and privacy policies. We are not responsible for the acts, omissions, or policies of any third-party service provider.

We are not responsible for the content, accuracy, or privacy practices of any third-party website. Accessing third-party links is done at your own risk.

12. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AXIOPISTIS HOLDINGS LC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that product descriptions or other content on the Site is complete, current, or accurate.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AXIOPISTIS HOLDINGS LC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, ANY PRODUCTS PURCHASED THROUGH THE SITE, OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE ORDER GIVING RISE TO SUCH CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

14. Indemnification

15. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or purchase of any product, we encourage you to contact us first at hello@privatereserves.shop to attempt to resolve the matter informally. We will make a good faith effort to resolve any dispute within 30 days of receiving written notice of your claim.

If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect intellectual property rights or prevent irreparable harm.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive your right to participate in a class action lawsuit or class-wide arbitration.

16. Governing Law & Jurisdiction

These Terms and any disputes arising out of or related to them or your use of the Site shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

To the extent any dispute is not subject to arbitration under Section 15, you consent to the exclusive jurisdiction of the state and federal courts located in the State of Georgia for the resolution of such disputes, and you waive any objection to the laying of venue of any such proceeding in Georgia.

17. Privacy

Your use of the Site and any personal information you provide are governed by our Privacy Policy, available at privatereserves.shop/privacy-policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection and use of your information as described in that policy.

18. Modifications to the Site or Terms

We reserve the right to modify, suspend, or discontinue any part of the Site at any time without notice or liability. We also reserve the right to update these Terms at any time. If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and Shipping & Returns Policy, constitute the entire agreement between you and Axiopistis Holdings LC with respect to your use of the Site and any purchases made through it, and supersede all prior agreements, representations, and understandings of any kind between you and us relating to the same subject matter.
